Terms of Service

Updated May 2025

These Terms of Service (“Terms”) govern your access to and use of Brief.me, the website, mobile/desktop apps, and any related products or services we provide (collectively, the “Services”). By creating an account, connecting any third-party platform, or otherwise using the Services, you (“you” or “User”) agree to be bound by these Terms and by our Privacy Policy. If you do not accept every provision below, do not use the Services.

1. Who We Are

Brief.me, Inc. (“Brief.me,” “we,” “our”) is a Washington corporation located at 10 Clay Street, Seattle, WA 98121, USA. Questions? Email hello@uprise.is.

2. Eligibility & Account Registration

  • You must be at least 16 years old and legally able to form a binding contract.

  • You agree to provide accurate, complete registration information and to keep it updated.

  • You are responsible for all activity that occurs under your credentials. Keep your password secure and notify us immediately of any unauthorized use.

3. Service Description

Brief.me connects—via OAuth or similar permission models—to email (e.g., Gmail), chat (e.g., Slack), project-management tools (e.g., Asana), and calendar providers to generate daily text and audio briefs of missed messages and upcoming events. We use third-party services (including text-to-speech and large-language-model APIs) to create these summaries.

Because our summaries rely on automated processing, they may occasionally omit, misinterpret, or reorder information. You remain solely responsible for reviewing original source content before acting on any brief.

4. Subscriptions, Fees & Payment

  • Plans & Billing. The Services are offered on subscription plans (Starter, Pro, Premium, Team, Enterprise, or other tiers we may introduce). Fees, features, and usage limits are described on our pricing page.

  • Auto-Renewal. Unless cancelled, your subscription renews automatically for successive billing cycles, and you authorize us (or our payment processor) to charge the applicable fee and taxes to your payment method on file.

  • Upgrades / Downgrades. Plan changes take effect immediately; pro-rated charges or credits may apply.

  • Refunds. Except where required by law, fees are non-refundable. We may—but are not obliged to—offer goodwill refunds at our sole discretion.

  • Taxes. You are responsible for all sales, use, VAT, GST, or similar taxes unless we collect them on your behalf.

5. Acceptable Use

You agree not to:

  1. Violate any applicable law, regulation, or third-party right.

  2. Upload or transmit malicious code, spam, or content you do not have permission to share.

  3. Use the Services to surveil or profile individuals without consent, or in any way that violates workplace or messaging-platform policies.

  4. Copy, decompile, reverse-engineer, or attempt to derive source code or underlying models.

  5. Resell, sublicense, or provide the Services to anyone other than authorized users under your plan.

  6. Interfere with the security, integrity, or availability of the Services.

We may suspend or terminate your account—without notice—if we believe you have violated these Terms or pose a risk to us, other users, or third parties.

6. Integrations & Third-Party Services

Your use of connected platforms (Gmail, Slack, Asana, calendar providers, ElevenLabs, etc.) is governed by those services’ own terms and policies. Brief.me is not liable for their acts, omissions, or data practices. Revoking an integration may limit or disable certain features.

7. Intellectual Property

  • Our IP. The Services, including all software, algorithms, and branding, are owned by Brief.me or its licensors and are protected by copyright, trademark, and other laws. We grant you a non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

  • Your Content. You retain all rights to the content you provide or that we access via integrations. You grant us a worldwide, royalty-free license to use, reproduce, and transform that content solely to operate and improve the Services.

  • Feedback. If you submit suggestions or ideas, we may use them without restriction or compensation.

8. Termination

You may cancel at any time through your account settings. We may suspend or terminate the Services (or your account) for any breach of these Terms or if we discontinue the Services altogether. Upon termination, your right to use the Services ceases immediately, but Sections 7–14 survive.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIEF.ME DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure, or that summaries will be complete or accurate.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BRIEF.ME (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS) WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR COST OF SUBSTITUTE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BRIEF.ME FOR THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so the above may not apply to you where prohibited.

11. Indemnification

You agree to indemnify and hold harmless Brief.me and its affiliates from any claim, demand, loss, or damage (including reasonable attorneys’ fees) arising out of or related to (a) content you provide, (b) your use or misuse of the Services, or (c) your violation of these Terms or any law.

12. Governing Law & Venue

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws principles. Except as provided in Section 13 (Arbitration), any dispute arising from these Terms will be litigated exclusively in the state or federal courts located in King County, Washington, and you consent to their jurisdiction.

13. Binding Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY—IT AFFECTS YOUR LEGAL RIGHTS.

  • Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Judgment on the award may be entered in any court with jurisdiction.

  • Opt-Out. You may opt out of arbitration by sending a written notice to hello@uprise.is within 30 days of first accepting these Terms.

  • Class-Action Waiver. Disputes will be resolved only on an individual basis; neither party may bring claims as a plaintiff or class member in a class, consolidated, or representative action.

Nothing here prevents either party from seeking injunctive or other equitable relief in court for alleged infringement of intellectual-property rights.

14. Modifications

We may revise these Terms from time to time. If changes are material, we will provide notice (e.g., by email or in-app message) and update the “Last updated” date. Changes take effect no sooner than 30 days after notice, unless they relate to new features or legal requirements, in which case they may take effect immediately. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. Miscellaneous

  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Brief.me regarding the Services.

  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.

  • No Waiver. Failure to enforce any right is not a waiver.

  • Assignment. You may not assign these Terms without our prior written consent; we may assign them freely as part of a merger, acquisition, or sale of assets.
